Terms of Service

1. Description of Service

Kyros provides an artificial intelligence-powered algorithmic trading software platform. The Service integrates with your third-party brokerage account (such as MetaTrader 5) using credentials provided by you, and automatically executes trades on your behalf based on our proprietary AI consensus models, risk parameters, and allocations selected by you.

We do not operate as a registered broker-dealer, financial advisor, or asset manager. We provide software tools to automate execution, but all trading actions are executed in your own brokerage account.

2. Account Registration and Security

To access and use the platform, you must register for a Kyros account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and accept all risks of unauthorized access to your account.
• Promptly notify us at security@kyrosagent.com if you discover any security breaches related to the Service.
• Keep your connected broker API keys and account details up to date and secure.

3. Trading Risks and Disclaimers

Algorithmic trading carries significant financial risk. By using Kyros, you explicitly acknowledge and agree that:

• Risk of Loss: Trading financial instruments (including forex, commodities, indices, and crypto) involves a substantial risk of loss. You could lose some or all of your deposited capital.
• No Guarantee: Past performance is not indicative of future results. We make no guarantee, representation, or warranty regarding the profitability or performance of any AI models or trading configurations.
• System Latency and Execution: Trade execution speed is subject to network latency, server uptime, and broker execution quality. We are not responsible for slippage, execution delays, or failure to execute orders due to technical issues outside our control.

4. Fees, Billing, and Deposits

Access to certain platform plans is subject to our pricing terms, which are billed monthly or annually. Your billing tier is determined by the total balance under management in your connected brokerage accounts as detailed on our Pricing Page.

• All subscription fees are non-refundable unless stated otherwise.
• You are solely responsible for any commissions, fees, or interest charged by your broker for trades executed by the software.
• We reserve the right to modify subscription fees upon 30 days' notice.

5. Intellectual Property

The Service, including its software, user interface, AI algorithms, source code, data feeds, and marketing materials, are the sole property of Kyros and are protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or authorized business purposes in accordance with these Terms.

6. Limitation of Liability

To the maximum extent permitted by law, in no event shall Kyros, its directors, employees, or partners, be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, loss of profits, loss of trading capital, data loss, or system downtime) arising out of or in connection with your use or inability to use the Service.

7. Indemnification

You agree to defend, indemnify, and hold harmless Kyros and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in any way connected with your breach of these Terms, your use of the Service, or trading losses incurred in your connected brokerage accounts.

8. Termination

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms, is harmful to other users of the Service, or infringes on our intellectual property rights. You may cancel your subscription and disconnect your broker accounts at any time through your dashboard.

9. Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the jurisdiction in which Kyros is incorporated, without giving effect to any choice or conflict of law provision.
